These Terms of Use ("Terms") govern your access to and use of the Reflect mobile application and related services (collectively, the "Services") provided by Solo Eleven LLC ("Reflect," "we," "our," or "us").
BY USING REFLECT, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT USE OUR SERVICES.
These Terms include important provisions regarding dispute resolution through arbitration and class action waiver (see Section 17). Please read these Terms carefully.
Our Privacy Policy explains how we collect and use personal information. While it does not form part of these Terms, it is an important document you should read: Privacy Policy.

WHO WE ARE AND WHAT REFLECT IS
Reflect is an AI-powered conversational thinking partner designed for decision-makers, creators, and professionals. We help you think clearly through decisions, explore possibilities, and build what matters—all while maintaining perfect memory of your conversations.
WHAT REFLECT IS:
• A thinking partner for processing decisions by talking through ideas
• A conversational AI with continuous context awareness
• A tool for clarity, focus, and strategic thinking
• A private space for exploring possibilities
WHAT REFLECT IS NOT:
NOT MEDICAL OR MENTAL HEALTH CARE:
Reflect is not a healthcare service, mental health treatment, therapy, counseling, or crisis intervention tool. We are not licensed healthcare providers. We do not provide medical advice, diagnosis, treatment, or psychological services. No doctor-patient, therapist-client, or counselor-client relationship is created by using Reflect.
NOT PROFESSIONAL ADVICE:
Reflect is not a substitute for professional advice. We do not provide:
• Legal advice or services
• Financial or investment advice
• Business consulting services
• Accounting or tax advice
• Any other professional services requiring licensure
NOT PRIVILEGED COMMUNICATION:
Conversations with Reflect are not protected by attorney-client privilege, doctor-patient confidentiality, psychologist-patient privilege, or any other legal privilege. Information you share is protected by our Privacy Policy but may be subject to legal disclosure requirements.
NOT A CRISIS SERVICE:
Reflect is not equipped to handle emergencies or crisis situations. If you are experiencing a crisis:

• Call 988 (US Suicide & Crisis Lifeline)
• Contact your local emergency services
• Seek immediate professional help
NOT A GUARANTEED OUTCOME:
Using Reflect does not guarantee any specific results, improvements, or outcomes. AI-generated insights are for exploration and thinking purposes only.
BY USING REFLECT, YOU ACKNOWLEDGE THESE LIMITATIONS.
2. ELIGIBILITY AND ACCOUNT REGISTRATION
AGE REQUIREMENT:
You must be at least 18 years old to use Reflect.
By creating an account, you represent and warrant that you are at least 18 years of age. We do not knowingly collect information from anyone under 18.
If we discover that you were under 18 when you created your account or if you misrepresented your age:
• We will immediately terminate your account
• We will delete all associated data within 30 days
• You may be liable for damages caused by your misrepresentation
ACCOUNT REGISTRATION:
To use Reflect, you must:
• Provide accurate and complete information
• Maintain the accuracy of your account information
• Keep your login credentials secure and confidential
• Not share your account with others
• Immediately notify us of unauthorized access
You are responsible for all activity that occurs under your account.
AUTHORITY:
If you create an account on behalf of an organization:
• You represent that you have authority to bind that organization to these Terms
• "You" refers to both you individually and the organization
CORPORATE EMAIL ADDRESSES:
If you register with an email address owned by an organization (e.g., your employer):
• We may notify that organization of your account
• The organization may add your account to their corporate subscription
• Organization administrators may gain access to your conversations
• You will receive notice before this occurs and may opt out
3. WHAT YOU CAN DO
Subject to your compliance with these Terms, you may:
• Use Reflect as your conversational thinking partner
• Have text and voice conversations with the AI
• Explore decisions, ideas, and possibilities
• Access your conversation history and context
• Use Reflect's features and functionality as made available
• Export your conversation data
You must:
• Comply with all applicable laws and regulations
• Use Reflect in good faith for its intended purposes
• Respect the rights of others
• Follow any usage guidelines we provide
4. WHAT YOU CANNOT DO
You may not use Reflect for any illegal, harmful, or abusive activity.
PROHIBITED USES:
You may NOT:
INFRINGE RIGHTS:
• Use Reflect in any way that violates or infringes anyone's rights (intellectual property, privacy, publicity, or other rights)
• Upload content you don't have the legal right to use
• Impersonate any person or entity
MISUSE THE SERVICE:
• Modify, copy, lease, sell, or distribute any part of Reflect
• Reverse engineer, decompile, or attempt to discover source code or underlying components (except to the extent permitted by law)
• Use automated means (bots, scrapers, crawlers) to access or extract data without authorization
• Bypass or circumvent any security measures, rate limits, or protective systems
• Interfere with or disrupt the Services or servers
MISREPRESENT AI OUTPUT:
• Present AI-generated content as human-created
• Claim AI insights are professional advice
• Use AI output to deceive or mislead others
HARMFUL ACTIVITIES:
• Use Reflect for any illegal purpose
• Generate, store, or share illegal content
• Harass, threaten, or harm others
• Violate anyone's privacy
• Create, distribute, or store malware or viruses
COMPETITIVE USE:
• Use Reflect's output to develop competing AI products or services
• Train other AI models using Reflect's content or output
• Scrape or systematically collect data for competitive purposes
HARMFUL CONTENT:
You must not use Reflect to create, store, or share:
• Content that promotes violence, hate, or discrimination
• Content that exploits or harms children
• Content that violates applicable laws
• Content that infringes intellectual property rights
• Malicious or deceptive content
PROFESSIONAL MISUSE:
Healthcare professionals must NOT:
• Use Reflect to store patient records or protected health information (PHI)
• Use Reflect as a HIPAA-compliant system
• Replace professional judgment or standard of care with AI insights
• Share patient information in conversations
Reflect is not HIPAA-compliant and we do not sign Business Associate Agreements.
VIOLATION CONSEQUENCES:
Violating these prohibitions may result in:
• Content removal
• Account suspension or termination
• Legal action
• Liability for damages caused
5. IMPORTANT LIMITATIONS AND DISCLAIMERS
AI LIMITATIONS:
Reflect uses artificial intelligence to generate responses. You understand and acknowledge:
ACCURACY:
• AI responses may be inaccurate, incomplete, or outdated
• AI may produce incorrect information that sounds plausible
• AI may misinterpret your questions or context
• AI cannot verify facts or guarantee accuracy
• You must verify any important information independently
BIAS AND APPROPRIATENESS:
• AI may produce biased, inappropriate, or offensive content
• AI reflects patterns in training data, which may include societal biases
• AI output does not represent Reflect's views or endorsements
• We are working to reduce bias but cannot eliminate it entirely
DECISION-MAKING:
• AI insights are for exploration and thinking purposes only
• You are solely responsible for your decisions
• You must apply your own judgment and expertise
• You should not rely on AI as the sole basis for important decisions
NO SOLE RELIANCE:
You must NOT rely on Reflect as the sole basis for decisions involving:
• Business strategy or operations
• Financial or investment decisions
• Legal matters or compliance
• Personnel decisions (hiring, firing, promotions)
• Medical or health-related decisions
• Relationships or personal matters with serious consequences
• Any decision with material impact on yourself or others
HUMAN REVIEW REQUIRED:
Before acting on AI insights for important matters:
• Verify information through authoritative sources
• Consult qualified professionals as appropriate
• Apply your own expertise and judgment
• Consider alternative perspectives
• Evaluate risks and consequences
CONFIDENTIAL INFORMATION WARNING:
Conversations with Reflect are NOT legally privileged communication.
While your conversations are protected by our Privacy Policy and encrypted:
• They are NOT protected like attorney-client communications
• They are NOT protected like doctor-patient communications
• They are NOT protected like therapist-client communications
• We may be legally compelled to disclose them (subpoena, court order)
• A data breach could potentially expose confidential information
• They do not constitute attorney work product
For legally privileged discussions, consult:
• Your attorney (for attorney-client privilege)
• Your therapist (for psychologist-patient privilege)
• Other appropriately licensed professionals
Consider the sensitivity of information before sharing. For highly confidential business information (trade secrets, M&A plans, financial data), assess whether Reflect is the appropriate tool.
CRISIS AND EMERGENCY LIMITATIONS:
CRITICAL: REFLECT CANNOT HELP IN EMERGENCIES
• We do not monitor conversations in real-time
• We cannot intervene in crisis situations
• We have no duty to contact authorities or provide assistance
• AI may fail to recognize or appropriately respond to crisis situations
• Automated crisis resources may be displayed but are not guaranteed
IF YOU ARE IN CRISIS:
• Stop using Reflect immediately
• Call 911 (US) or local emergency services
• Call 988 (US Suicide & Crisis Lifeline) or equivalent
• Contact a mental health professional
• Seek immediate help from qualified professionals
By using Reflect, you expressly release us from any duty to monitor, intervene, or contact authorities. Providing automated crisis resources does not create a duty of care.
HEALTH AND MENTAL HEALTH:
If you have a mental health condition or are under professional care:
• Consult your healthcare provider before using Reflect
• Do not use Reflect as a substitute for professional treatment
• Discontinue use if you experience worsening symptoms or distress
• Seek professional guidance for any concerns
Intensive self-reflection can sometimes cause discomfort or worsen certain conditions. You use Reflect at your own risk.
6. THIRD-PARTY SERVICES AND AI PROVIDERS
Reflect integrates with third-party services to provide AI capabilities and infrastructure.
OPENAI:
We use OpenAI's API to power Reflect's conversational AI.
What OpenAI Does:
• Processes your conversation text to generate AI responses
• May process voice input for speech-to-text (if you enable this feature)
• Retains data for up to 30 days for safety and abuse monitoring
• Does NOT train models on your data sent through our API

You agree to comply with OpenAI's Usage Policies when using Reflect.
APPLE:
We may use Apple's Speech Services for voice-to-text features (if you enable them).
What Apple Does:
• Converts your voice input to text
• Does not retain audio recordings by default
• If you have "Improve Siri & Dictation" enabled in iOS settings, Apple may retain samples for up to 6 months for improvement purposes
• Handles data according to Apple's privacy practices

Voice features are optional. You can use Reflect entirely through text.
GOOGLE FIREBASE:
We use Google Firebase for infrastructure services:
• Authentication and account management
• Database and data storage
• Security and analytics
• Hosting and cloud functions

THIRD-PARTY LIMITATIONS:
We are not responsible for:
• Third-party service outages or performance issues
• Third-party data practices (though we select reputable providers)
• Third-party changes to their terms or services
• Third-party security breaches beyond our control
These services are provided "as-is" and "as-available."
If a third-party service becomes unavailable, we may:
• Replace it with an alternative provider
• Modify affected features
• Temporarily suspend certain functionality
• Provide notice when feasible
7. YOUR CONTENT AND OUR RIGHTS
DEFINITIONS:
• "Input": Text, voice, files, or other content you provide to Reflect
• "Output": AI-generated responses and insights provided by Reflect
• "Content": Your Input and Output collectively
YOUR RESPONSIBILITIES:
You are responsible for all Content you create or provide:
• You must have all necessary rights and permissions for your Input
• You must ensure Content does not violate laws or these Terms
• You must ensure Content does not infringe others' rights
• You are the "information content provider" of your Content under applicable law
OWNERSHIP:
You retain ownership of:
• Your Input (the content you provide)
• Your Output (the AI responses generated for you)
To the extent we have any rights in Output generated for you, we assign those rights to you (to the extent such Output is eligible for intellectual property protection).
LICENSE TO REFLECT:
You grant us a limited license to your Content:
• Scope: Worldwide, non-exclusive, royalty-free, sublicensable license
• Purpose: To operate, maintain, improve, and secure Reflect
• Duration: Until you delete the Content or your account, or until we anonymize it per our Privacy Policy
• Permitted Uses: Hosting, storing, processing, displaying, transmitting, and generating AI responses
This license allows us to:
• Process your Input to generate Output
• Store your conversations and maintain context
• Improve Reflect's AI and features (in aggregate/anonymized form)
• Ensure security and prevent abuse
• Comply with legal obligations
SIMILARITY OF CONTENT:
Due to the nature of AI:
• Other users may receive similar Output for similar Input
• Output may not be unique
• Your ownership applies only to your specific Output
• You have no rights to Output generated for other users
FEEDBACK:
If you provide suggestions, ideas, or feedback about Reflect:
• We may use it without restriction or compensation to you
• You grant us a perpetual, irrevocable, worldwide license to use it
• We have no obligation to implement or respond to feedback
8. CONTINUOUS CONVERSATION ARCHITECTURE
INTENTIONAL DESIGN:
Reflect is designed to maintain continuous conversational context and memory across all your interactions. This is a core feature that enables your AI thinking partner to provide relevant, contextual insights based on your complete history.
HOW IT WORKS:
• Each conversation builds upon previous conversations
• The AI maintains awareness of your patterns, preferences, themes, and history
• This creates a continuous thread of thought, like an ongoing dialogue with a trusted advisor
• Contextual continuity enables deeper insights and more relevant responses over time
IMPORTANT UNDERSTANDING:
• Individual messages cannot be selectively deleted from your conversation history
• Deleting one message would break the contextual continuity that makes Reflect valuable
• This is an intentional design feature, not a technical limitation
• The continuous thread is what enables Reflect to function as your thinking partner with "perfect memory"
YOUR OPTIONS:
While you cannot delete individual messages, you can:
• Edit or redact message content in place
• Export your complete conversation history at any time (JSON format)
• Delete your entire account and all associated data
• Request anonymization of specific highly sensitive information (subject to technical feasibility)
INFORMED CONSENT:
By creating a Reflect account, you:
• Acknowledge and understand the continuous conversation architecture
• Accept that individual messages cannot be selectively deleted
• Agree to use Reflect within this design framework
• Understand your data management options
If you require the ability to selectively delete individual messages or conversations, Reflect may not be suitable for your needs.
This continuous conversation design is fundamental to how Reflect provides value as your thinking partner.
9. OUR INTELLECTUAL PROPERTY
Reflect and its Services are protected by intellectual property laws.
WE OWN:
• The Reflect name, logo, and branding
• The Reflect software, application, and codebase
• The design, look and feel, and user interface
• Reflect's proprietary features and functionality
• Documentation and materials we create
YOU MAY NOT:
• Use our name, logo, or branding without permission
• Copy, modify, or create derivative works of Reflect
• Remove or alter any proprietary notices
• Claim ownership of any part of Reflect
OPEN SOURCE:
Some components of Reflect may include open-source software governed by separate licenses. We will make those licenses available as required.
10. SUBSCRIPTIONS AND PAYMENTS
SUBSCRIPTION PLANS:
Reflect offers subscription plans for premium features. All subscriptions are processed through the Apple App Store.
BILLING:
• Payment Method: You must provide valid payment information to Apple
• Automatic Renewal: Subscriptions renew automatically until you cancel
• Pricing: Subscriptions are billed at the price and frequency you selected
• Taxes: You are responsible for all applicable taxes
• Failed Payment: If payment fails, Apple may downgrade or suspend your access
SUBSCRIPTION MANAGEMENT:
All subscription management is handled through the Apple App Store:
• Billing and charges: Managed by Apple
• Payment method: Updated through Apple account settings
• Subscription status: Viewed in Apple account settings
We do not have access to your payment card details. All payment information is handled by Apple.
PRICE CHANGES:
We may change subscription prices from time to time.
If we increase prices:
• We will provide at least 30 days' advance notice
• The new price will apply on your next renewal date
• You can cancel before the renewal to avoid the new price
11. CANCELLATION AND REFUNDS
CANCELLATION:
You can cancel your subscription at any time through Apple App Store settings:
Open Settings → Subscriptions on your iPhone
Tap Reflect
Tap Cancel Subscription and confirm
Cancellation takes effect at the end of your current billing period. You will retain access until then. No further charges will be made.
REFUNDS:
All refund requests must be directed to Apple in accordance with Apple's App Store policies and terms.
• We cannot directly issue refunds
• We cannot override Apple's refund decisions
• Refund eligibility is determined by Apple's policies
• Contact Apple Support for refund requests

Payments are generally non-refundable except:
• As required by applicable law
• As determined by Apple under their policies
EXCEPTIONS:
If we discontinue the Services entirely:
• We will provide advance notice when feasible
• We will provide pro-rata refunds for prepaid unused periods
• This applies only to full service discontinuation, not individual features
12. ACCOUNT TERMINATION AND SUSPENSION
TERMINATION BY YOU:
You may stop using Reflect at any time.
To delete your account:
• Use the in-app account deletion feature
• Or email us at care@reflect.chat
Upon deletion:
• We will delete or anonymize your personal data within 30 days
• Some data may remain in backups for up to 90 days
• Data subject to legal holds cannot be deleted until the hold is released
• OpenAI retains conversation data for up to 30 days for safety monitoring
Deleting your account does not entitle you to a refund (see Section 11).
TERMINATION BY US:
We may suspend or terminate your access to Reflect if:
• You violate these Terms or our policies
• We are required by law to terminate your account
• Your use poses a risk or harm to Reflect, our users, or others
• You engage in fraudulent, abusive, or illegal activity
• Your account remains inactive for over one year (free accounts only, with advance notice)
CONSEQUENCES OF TERMINATION:
Upon termination:
• Your access to Reflect will be immediately revoked
• You will lose access to your conversation history
• Any prepaid subscription fees are non-refundable (except as required by law)
• Sections of these Terms that should survive termination will remain in effect
APPEALS:
If you believe we terminated your account in error:
• Contact our support team at care@reflect.chat
• Provide your account information and explanation
• We will review your appeal in good faith
• We may reinstate your account if appropriate
AGE MISREPRESENTATION:
If we discover you were under 18 when you created your account:
• We will immediately terminate your account
• We will delete all data within 30 days
• You may be liable for costs incurred due to misrepresentation
• We reserve the right to pursue legal remedies
13. DISCLAIMER OF WARRANTIES
REFLECT IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING:
• IMPLIED WARRANTIES OF MERCHANTABILITY
• IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• IMPLIED WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• WARRANTIES THAT INFORMATION OR CONTENT WILL BE ACCURATE, RELIABLE, OR COMPLETE
WE DO NOT WARRANT THAT:
• Reflect will meet your specific needs or expectations
• AI output will be accurate, complete, or appropriate
• The Services will operate without interruption or errors
• Defects will be corrected
• The Services are free from viruses or harmful components
• Your data will be completely secure (no system is 100% secure)
YOU ACKNOWLEDGE AND AGREE:
• AI may produce inaccurate or inappropriate responses
• Third-party services may experience outages or issues
• Use of AI output is at your sole risk
• You will not rely on AI as a sole source of truth or professional advice
• You are responsible for evaluating and verifying all AI output before use
THIRD-PARTY SERVICES:
• We are not responsible for third-party service performance (OpenAI, Apple, Firebase)
• Third-party outages, errors, or changes are beyond our control
• No warranty extends to third-party components
LEGAL LIMITATIONS:
Some jurisdictions do not allow disclaimer of certain warranties. In such cases, our warranties are limited to the extent required by applicable law.
14. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW:
EXCLUSION OF DAMAGES:
NEITHER REFLECT NOR ITS AFFILIATES, SUPPLIERS, OR LICENSORS WILL BE LIABLE FOR ANY:
• INDIRECT DAMAGES
• INCIDENTAL DAMAGES
• SPECIAL DAMAGES
• CONSEQUENTIAL DAMAGES
• EXEMPLARY DAMAGES
• PUNITIVE DAMAGES
INCLUDING, WITHOUT LIMITATION:
• Loss of profits or revenue
• Loss of data or business opportunities
• Loss of goodwill or reputation
• Emotional distress or mental anguish
• Cost of substitute services
• Any other intangible losses
THIS APPLIES EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LIABILITY CAP:
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNT YOU PAID TO REFLECT IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR
(b) $100 USD
This limitation applies to all theories of liability, including:
• Breach of contract
• Breach of warranty
• Negligence
• Strict liability
• Any other legal theory
BASIS OF THE BARGAIN:
These limitations are fundamental to the agreement between you and Reflect. Without these limitations, we could not provide Reflect at the current price point.
You acknowledge that these limitations reflect a reasonable allocation of risk.
SPECIFIC EXCLUSIONS:
We are specifically not liable for:
• Decisions you make based on AI output
• Emotional distress caused by AI responses
• Misinterpretation of your situation by AI
• Failure to recognize crisis situations
• Any claimed therapeutic benefit or relationship
• Third-party service failures (OpenAI, Apple, Firebase)
• Security breaches beyond our reasonable control
• Your device or network security issues
LEGAL VARIATIONS:
Some jurisdictions do not allow limitation of certain damages or liabilities. In such cases:
• Our liability is limited to the maximum extent permitted by law
• You may have additional rights that cannot be waived
• These limitations apply to the fullest extent permissible
SURVIVAL:
These limitations apply even after termination of your account or these Terms.
15. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Reflect and its officers, directors, employees, agents, affiliates, and licensors from and against any:
• Claims
• Liabilities
• Damages
• Losses
• Costs
• Expenses (including reasonable attorneys' fees)
Arising out of or relating to:
YOUR CONTENT:
• Your Input or Output that violates laws or these Terms
• Your Content that infringes third-party rights
• Your Content that harms or defames others
YOUR CONDUCT:
• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of applicable laws or regulations
• Your negligent or willful misconduct
YOUR DECISIONS:
• Decisions you make based on AI output
• Actions you take relying on Reflect's insights
• Harm caused by your reliance on AI-generated content
THIRD-PARTY CLAIMS:
• Claims by others related to your use of Reflect
• Disputes with other users
• Infringement claims related to your Content
ORGANIZATIONAL USE:
If you provision accounts for others (e.g., corporate use):
• You indemnify us for claims arising from those users
• You are responsible for their compliance with these Terms
• You ensure they have appropriate authority and permissions
LIMITATIONS:
This indemnification does not require you to indemnify us for:
• Our own gross negligence or willful misconduct
• Our breach of these Terms
• Matters caused solely by our actions
PROCESS:
If we seek indemnification:
• We will notify you of the claim
• You will have the right to defend with counsel of your choice
• We may participate in the defense at our expense
• You will not settle without our consent if it affects our rights
16. COPYRIGHT AND CONTENT COMPLAINTS
DMCA COPYRIGHT COMPLAINTS:
Reflect respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).
If you believe content on Reflect infringes your copyright, send a written notice to our DMCA Agent:

Your notice must include:

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location (with sufficient detail for us to locate it)
• Your contact information (address, telephone, email)
• A statement that you have a good-faith belief the use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
REPEAT INFRINGERS:
We will terminate accounts of users who repeatedly infringe copyrights, in accordance with the DMCA.
COUNTER-NOTIFICATION:
If your content is removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notification as provided by law.
OTHER CONTENT COMPLAINTS:
For complaints about content that:
• Infringes trademarks or other intellectual property
• Violates privacy rights
• Is defamatory or harmful
• Violates laws for other reasons

We will review and may remove content at our discretion.
ACCURACY COMPLAINTS:
If AI output contains false information about you:

• Describe the statement and why it's false
• Provide supporting evidence
• We may remove, anonymize, or correct the content at our discretion
We are not obligated to remove or correct AI-generated content, but we will consider good-faith requests.
17. DISPUTE RESOLUTION AND ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
AGREEMENT TO ARBITRATE:
You and Reflect agree to resolve disputes through binding individual arbitration, except as specified below.
THIS MEANS:
• You waive your right to a jury trial
• You waive your right to a court trial (except small claims court)
• You waive your right to participate in a class action
COVERED DISPUTES:
"Dispute" means any claim or controversy arising out of or relating to:
• These Terms
• Your use of Reflect
• Any aspect of our relationship
• Breach of these Terms
• Privacy or data practices
This includes disputes that arose before you agreed to these Terms.
INFORMAL RESOLUTION FIRST:
Before filing arbitration, we both agree to attempt informal resolution:

• Contact informationWe both agree to negotiate in good faith for 60 days
Either party may initiate arbitration after 60 days if unresolved

ARBITRATION PROCEDURES:
If informal resolution fails, disputes will be resolved through arbitration administered by:
National Arbitration and Mediation (NAM)

Arbitration Details:
• Single neutral arbitrator
• Conducted by videoconference when possible
• In-person hearings (if required): Mutually agreed location or as determined by arbitrator
• Arbitrator is a retired judge or attorney licensed in California
• Governed by Federal Arbitration Act
• Either party may be represented by counsel
FEES AND COSTS:
• NAM filing fees and arbitrator fees allocated per NAM rules
• Reflect will not seek attorneys' fees unless the arbitrator finds your claim frivolous
• Each party bears their own attorneys' fees (unless applicable law provides otherwise)
ARBITRATOR AUTHORITY:
The arbitrator has exclusive authority to:
• Resolve all disputes (except enforceability of Class Action Waiver, decided by court)
• Determine arbitrability and enforceability of this arbitration agreement
• Grant any remedy available in court (for individual claims only)
• Award attorneys' fees and costs if authorized by law
The arbitrator cannot:
• Award relief affecting anyone other than you individually
• Consolidate claims without consent of all parties
EXCEPTIONS TO ARBITRATION:
The following are NOT subject to arbitration:
SMALL CLAIMS COURT:
Either party may bring an individual claim in small claims court (within jurisdictional limits)INTELLECTUAL PROPERTY:
Either party may seek injunctive relief in court for:
• Unauthorized use or abuse of the Services
• Intellectual property infringement or misappropriationEMERGENCY RELIEF:
Either party may seek temporary or preliminary injunctive relief in court to prevent irreparable harm while arbitration proceeds
